Contributor Agreement

1. Overview

This Contributor Agreement ("Agreement") governs the relationship between MyStockCaribbean and individuals or entities ("Contributors") who submit photographs, videos, illustrations, audio, or other creative media ("Content") to the Platform for licensing to buyers. By submitting Content, you agree to the terms of this Agreement.

2. Content Submission and Approval

All submitted Content is subject to review and approval by MyStockCaribbean's editorial team. We reserve the right to reject or remove any Content that:

• Does not meet our technical quality standards (minimum resolution, focus, exposure).
• Infringes any third-party intellectual property rights.
• Contains defamatory, obscene, or illegal material.
• Lacks required model or property releases.
• Misrepresents its origin, subject matter, or authenticity.

3. License Grant to MyStockCaribbean

By submitting Content, you grant MyStockCaribbean a non-exclusive, worldwide, royalty-free license to host, display, reproduce, distribute, and sublicense your Content to buyers through the Platform in accordance with our standard licensing tiers. You retain ownership of your Content and may continue to license it through other channels unless you opt into an exclusive arrangement.

4. Representations and Warranties

You represent and warrant that:

• You are the original creator of the Content or hold all necessary rights to license it.
• The Content does not infringe any copyright, trademark, privacy, or other rights of any third party.
• You have obtained valid, written model releases for all identifiable individuals appearing in the Content.
• You have obtained valid property releases for any private property depicted in the Content where required.
• The Content complies with all applicable laws, including those of the Caribbean territories where it was created.

5. Earnings and Royalties

Contributors earn royalties based on the license tier purchased by buyers. Current royalty rates are displayed in your Contributor Dashboard and are subject to change with 30 days' notice. Earnings are accumulated and paid out according to the payment schedule and minimum threshold outlined in your Payment Settings. MyStockCaribbean reserves the right to withhold payment if there is a reasonable suspicion of fraudulent activity or policy violation pending investigation.

6. Exclusivity Options

Contributors may opt into exclusive licensing arrangements for specific Content, which may result in higher royalty rates. Exclusive Content may not be licensed through any other platform or channel for the duration of the exclusivity period. Exclusivity terms are set at the time of submission and may be modified upon mutual written agreement.

7. Indemnification

You agree to indemnify, defend, and hold harmless MyStockCaribbean, its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from your Content, your breach of this Agreement, or your violation of any applicable law.

8. Termination

Either party may terminate this Agreement with 30 days' written notice. Upon termination, your Content will be removed from active sale; however, licenses already granted to buyers prior to termination remain valid. Any earned but unpaid royalties will be paid out according to the standard payment schedule.

9. Governing Law

This Agreement is governed by the laws of Trinidad and Tobago. Disputes shall be resolved through binding arbitration in Port of Spain, Trinidad, unless otherwise agreed in writing.
